01 Agreement
This EULA is a legal agreement between you ("you," "your," or "User") and the Starcat development team ("we," "our," or "us") for the use of Starcat for GitHub software application, including any related documentation, updates, and services provided through the Apple Mac App Store.
This EULA incorporates by reference:
- The Apple Licensed Application End User License Agreement (the "Apple Standard EULA")
- Our Privacy Policy
In the event of a conflict between this EULA and the Apple Standard EULA, the Apple Standard EULA shall prevail with respect to App Store-specific terms.
02 Definitions
- App
- Starcat for GitHub, the macOS application software distributed through the Mac App Store, including all updates, patches, and related documentation.
- Free Tier
- The feature set available without a Pro subscription, including star sync, local search, tags, notes, README viewing, and discovery browsing.
- Pro
- The premium feature set unlocked through an Apple In-App Purchase subscription, including AI summaries, AI tags, AI Chat, README translation, semantic search, and other advanced features.
- BYOK
- "Bring Your Own Key" — the model where you provide and manage your own API keys for AI providers, stored locally in your Mac's Keychain.
- User Data
- All data generated, stored, or imported by you through the App, including tags, notes, status, cached repository data, settings, and exported files.
03 License Grant
3.1 Scope
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Starcat on any Apple-branded device that you own or control, solely for your personal, non-commercial use, as permitted by the Apple Standard EULA and the Mac App Store Usage Rules.
3.2 Free Tier
The Free tier is provided at no cost. You may use Free tier features indefinitely subject to the limitations described in the App.
3.3 Pro Subscription
Pro features are unlocked through an Apple In-App Purchase auto-renewable subscription. Your access to Pro features is valid for the duration of your active subscription. Upon expiration or cancellation, Pro features will be locked and the App will revert to Free tier functionality.
3.4 Updates
We may provide updates, bug fixes, and new features through the Mac App Store. This EULA applies to all updates. Apple's App Store infrastructure handles the delivery of updates.
04 Subscription & Payment
4.1 Apple In-App Purchase
The Pro subscription is an Apple In-App Purchase. All payment processing, subscription management, billing, renewal, and cancellation are handled exclusively by Apple through your Apple ID. We do not collect, store, or have access to your payment information.
4.2 Free Trial
Pro subscriptions include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial at no cost. Apple will notify you before the trial converts to a paid subscription.
4.3 Auto-Renewal
Pro subscriptions auto-renew by default. Your Apple ID payment method will be charged within 24 hours before the end of each billing period. You can manage or disable auto-renewal in your Apple ID account settings at any time.
4.4 Cancellation
You may cancel your subscription at any time through:
- App Store app → Account → Subscriptions → Starcat → Cancel
- System Settings → Apple ID → Media & Purchases → Subscriptions → Starcat → Cancel
Upon cancellation, Pro features remain available until the end of the current paid period. No refunds are provided for partial periods. Refund requests must be directed to Apple.
4.5 No External Payment Methods
This App Store version of Starcat does not offer or support any payment methods outside of Apple In-App Purchase. There are no external payment processors, license key systems, one-time purchase options, or lifetime licenses in this version.
05 Restrictions
You agree not to, and not to permit others to:
- Copy, modify, adapt, translate, or create derivative works of the App
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App, except as permitted by applicable law
- Distribute, sublicense, rent, lease, sell, or otherwise transfer the App or your license rights
- Use the App for any illegal purpose or in violation of any applicable laws or regulations
- Use the App to violate GitHub's Terms of Service or any third-party API terms
- Remove, obscure, or alter any proprietary notices, labels, or marks in the App
- Circumvent or attempt to circumvent any technical protection measures, subscription validation, or usage limits in the App
- Use the App to transmit malware, spam, or other harmful content
06 Intellectual Property
6.1 Our IP
Starcat, including its code, design, user interface, graphics, logos, and documentation, is owned by the Starcat development team and is protected by copyright, trademark, and other intellectual property laws. This EULA does not transfer any ownership rights to you.
6.2 Your Data
You retain full ownership of your User Data. Starcat does not claim any ownership over your tags, notes, status, cached repository data, or exported content. Since your data is stored locally, you have full control over it at all times.
6.3 Feedback
Any feedback, suggestions, or ideas you provide about Starcat may be used by us without restriction or obligation to you.
6.4 Open Source Components
Starcat includes open source software components. Their respective licenses are available in the App's About section and in the project repository. Nothing in this EULA restricts your rights under those open source licenses.
07 Third-Party Services
7.1 GitHub
The App integrates with GitHub via OAuth and the GitHub API. Your use of GitHub through the App is subject to GitHub's Terms of Service. We are not responsible for GitHub's services, availability, or API changes.
7.2 AI Providers
The App supports third-party AI providers (OpenAI, Gemini, DeepSeek, Ollama, and compatible APIs). You are responsible for obtaining and managing your own API keys and for complying with each provider's terms of service. We do not provide AI API keys and are not responsible for the availability, accuracy, or content of AI provider responses.
7.3 Apple
App distribution, payment processing, and subscription management are provided by Apple. These services are governed by Apple's terms and policies, including the Apple Standard EULA.
08 Disclaimer of Warranties
We do not warrant that:
- The App will meet your specific requirements or expectations
- The App will be uninterrupted, timely, secure, or error-free
- Any errors or defects will be corrected
- AI-generated content (summaries, tags, translations, chat responses) will be accurate, complete, or appropriate for your use case
- Third-party services (GitHub API, AI providers) will remain available or compatible
AI features produce machine-generated content that may contain errors, inaccuracies, or biases. You should independently verify AI-generated content before relying on it.
09 Limitation of Liability
Our total liability for any claim arising out of this EULA or your use of the App shall not exceed the amount you paid us for the App in the twelve (12) months preceding the claim. If you use only the Free tier, our liability shall not exceed ten U.S. dollars ($10.00).
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), even if we have been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so these limitations may not apply to you in full.
10 Termination
10.1 By You
You may terminate this EULA at any time by deleting the App from all your devices. Your Pro subscription will continue to be billed by Apple until you cancel it separately through your Apple ID account settings.
10.2 By Us
We may terminate this EULA and your right to use the App if you violate its terms. Upon termination, you must delete the App from all your devices.
10.3 Survival
Sections 5 (Restrictions), 6 (Intellectual Property), 8 (Disclaimer), 9 (Limitation of Liability), and 11 (Governing Law) shall survive termination of this EULA.
11 Governing Law
This EULA shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles. Any disputes arising from this EULA shall be resolved through amicable negotiation. If negotiation fails, either party may submit the dispute to the competent court in the jurisdiction where the developer is located.
For users in jurisdictions with mandatory consumer protection laws, nothing in this EULA limits rights you may have under those laws.
